A partnership deed in Hindi, written in proper legal Hindi

Many family businesses, shops, contractors and small traders in Hindi-speaking states prefer their partnership deed in Hindi, so that every partner can read exactly what they are signing. Finding a clean Hindi format is harder than it should be: most samples online are scanned pages, half-translated, or written for two partners only. The generator above is set to हिन्दी. Fill in the form once and the whole deed, with its numbered clauses and capital table, is written in Hindi.

What the Hindi deed contains

• Heading and parties: साझेदारी विलेख (पार्टनरशिप डीड), the place and date, and each partner as प्रथम भागीदार, द्वितीय भागीदार, तृतीय भागीदार and so on, with पुत्र/पुत्री/पत्नी/पति, आयु and निवासी.
• Recital: चूँकि भागीदारों ने साझेदारी में … का व्यवसाय करने का निर्णय लिया है…
• Numbered clauses starting "यह कि": फ़र्म का नाम, व्यवसाय, मुख्य व्यवसाय स्थल, प्रारंभ तिथि, अवधि (इच्छाधीन या निश्चित वर्ष), पूंजी, पूंजी पर ब्याज, लाभ-हानि का बँटवारा, कार्यरत भागीदार और पारिश्रमिक, निजी निकासी, बैंक खाता, लेखा-बही, जीएसटी, नए भागीदार, अलग होना, मृत्यु, फ़र्म भंग होना, विवाद.
• अनुसूची: a table of each partner's पूंजी (₹) and लाभ / हानि में हिस्सा, with totals.
• Signatures and गवाह: a signature line for each partner and two witnesses.

The total capital is written in figures and Hindi words, for example "₹5,00,000 (पाँच लाख रुपये मात्र)".

Shares that add up

The form keeps a running total of the profit shares and shows it in green when it reaches 100% and in red when it doesn't. Downloads stay blocked until the total is right, so a deed never goes to the stamp paper with 50% + 40%. The last partner's share fills in automatically with whatever is left.

Hindi and English side by side

Your bank, CA or the Registrar of Firms may want an English copy as well. The same form makes both: switch the language to English, download, and switch back. The details you typed stay as they are, so both versions say the same thing. Names typed in Hindi stay in Hindi in the English version, so type them in English if you need an English deed.

Choosing the clauses

Not every firm needs every clause. Set interest on capital to 0 to drop that clause, choose whether working partners get remuneration, and keep or remove the GST and no-competition clauses. The clause numbers adjust by themselves, so the deed never jumps from 6 to 8. Your own conditions, such as who handles purchases and who handles sales, go in "आपकी अपनी शर्तें", one per line, and are numbered after the standard clauses.

Stamp paper, signing and registration

Print the deed on non-judicial stamp paper, or attach an e-stamp certificate, of the value your state's stamp law requires; leave space at the top using the "स्टांप पेपर के लिए ऊपर खाली जगह" option. Every partner signs, two witnesses sign, and many firms have it notarised. Registration with the state's Registrar of Firms is optional under the Indian Partnership Act, 1932, but an unregistered firm cannot file a suit to enforce its contracts, so most firms register.
